Terms of Service (ToS)
This Agreement (“Agreement”) is entered into between Ethical Real Estate Professional, LLC™ (“EREP,” “we,” or “us”) and You (“User” or “Client”). By electronically agreeing to these terms, You accept the following conditions governing the use of EREP’s products, services, website, and associated intellectual property. These terms are legally binding.
- Introduction
This Agreement applies to the use of the EREP website and any products or services provided, including webinars, coaching programs, and digital content. If You do not agree with these Terms, You must discontinue use of the Site immediately. Any questions should be directed to help@ethicalrealestateprofessional.com.
- Term of Agreement & Modifications
EREP reserves the right to modify this Agreement at any time. Changes will take effect 10 days after notification if they materially affect your program. Your continued use of our services indicates acceptance of the revised terms.
- No Refunds & Cancellation Policy
- No Refunds: EREP maintains a strict no-refund policy. If You cancel your subscription or fail to use the services provided, no refunds or extensions will be granted. To cancel, You must submit a written request to help@ethicalrealestateprofessional.com.
- Auto-Renewal: Services will auto-renew unless canceled in writing prior to the renewal date.
- Refund Exceptions: EREP reserves the right to issue refunds in cases of proven fraud, technical errors, or company malpractice.
- Third-Party Financing: If You finance the service, You are bound by the terms of the third-party lender.
- Accurate Information & Account Security
You are responsible for providing accurate contact information and for maintaining the security of your account credentials. Failure to update your information or respond to inquiries may result in termination of services.
- Liability for Unauthorized Use: You are liable for any unauthorized use of your account unless You notify EREP of the breach immediately.
- Prohibited Uses: You agree not to use the Site for illegal activities, harvesting data, introducing harmful software, or scraping. Account sharing and unethical use are prohibited.
- SMS Marketing & Communications
By providing your phone number, You consent to receive SMS (text) messages from EREP regarding services, promotional offers, or updates.
- Opt-In: SMS messages will only be sent after You opt-in, with a limit of four (4) messages per month.
- Opt-Out: You can stop receiving messages by replying “STOP” to any SMS. Message and data rates may apply.
- TCPA Compliance: All SMS communications comply with the Telephone Consumer Protection Act (TCPA).
- Dispute Resolution & Binding Arbitration
All disputes will be resolved through binding arbitration in accordance with the Federal Arbitration Act (FAA). This means:
- No Jury Trial: You waive your right to a trial by jury.
- No Class Actions: You cannot participate in class action lawsuits against EREP.
- Arbitration Body: Arbitration will be conducted by the American Arbitration Association (AAA) in Dorado, Puerto Rico.
- Opt-Out: You may opt-out of this arbitration clause by submitting a written notice to EREP, PMB 264, 425 Carr. 693, Suite 1, Dorado, PR 00646 within 60 days.
- Privacy
Your information is confidential and will not be shared without consent, except where required by law. Review our Privacy Policy for additional details.
- Cross-Border Data Transfers: Data may be transferred outside of your country of residence. EREP ensures compliance with GDPR and other applicable data protection laws for international transfers.
- Attendance & Recording of Calls, Meetings, and Seminars
By participating in EREP seminars, coaching calls, or webinars, You consent to being recorded. EREP retains the right to use these recordings for training, marketing, or resale, and You waive any claim to compensation.
- Ownership: EREP owns all rights to recorded materials and may use them at its discretion without further obligation to You.
- Client Recordings: You are not authorized to record any sessions without prior written consent.
- Feedback & Content Submission
Any feedback, creative ideas, or content You submit to EREP becomes the exclusive property of EREP.
- Ownership of Submissions: By submitting feedback or content, You grant EREP a perpetual, royalty-free license to use, modify, and distribute the material for any purpose.
- No Confidentiality: EREP is under no obligation to maintain the confidentiality of the submissions.
- Limitation of Liability
EREP makes no guarantees regarding income or results from its services. You are solely responsible for your results. EREP is not liable for any indirect, incidental, or consequential damages, including loss of profits or goodwill.
- Maximum Liability: The maximum liability to EREP under any circumstances will be limited to the total amount paid for the services in question.
- Use of Beta Features: Any beta features or experimental services are provided “as-is” and may be changed or discontinued at any time.
- Intellectual Property Rights
All content, training materials, and intellectual property provided by EREP are protected by copyright and trademark laws. You may not reproduce, distribute, or sell any content without express written consent.
- Trademark Use: Limited use of EREP trademarks may be granted for marketing purposes with express written permission.
- Non-Disparagement Clause
You agree not to make any disparaging statements, whether publicly or privately, about EREP, its employees, or its affiliated entities. Violation of this clause may result in legal action.
- Governing Law & Jurisdiction
This Agreement is governed by the laws of Puerto Rico. Any disputes arising under this Agreement shall be brought in Dorado, Puerto Rico, and the parties waive the right to a jury trial.
- Force Majeure
EREP is not liable for service interruptions due to circumstances beyond its control, including technical issues or natural disasters.
- Data Retention Policy
EREP will retain user data for up to 5 years after the termination of services, unless otherwise required by law. If you request account deletion, we will remove your data within this period unless legal obligations require otherwise.
- Change of Ownership
In the event of a merger or acquisition, EREP will transfer your data to the new owner, subject to existing privacy policies. You will be notified of any changes.
- Notices
All notices from EREP will be sent via email or posted on the Site. Notices from You must be sent to help@ethicalrealestateprofessional.com or mailed to EREP, PMB 264, 425 Carr. 693, Suite 1, Dorado, PR 00646.
- Severability
If any part of this Agreement is found to be unenforceable, the remainder of the Agreement will remain in full force and effect.
- Annual Recertification Process
To uphold the integrity and standards of the EREP designation, all members are required to undergo an annual recertification process. This process ensures that designees continue to meet the high ethical and professional criteria established by our organization.
Scope of Annual Reverification
Each year, the EREP compliance team reserves the right to reverify members’ qualifications. This reverification may include, but is not limited to, the following assessments:
- Ethics Violations: Reviewing any reported ethics violations with state associations or boards of REALTORS®.
- Legal Issues: Examining legal matters pertaining to real estate transactions that may affect the member’s standing.
- Designation Representation: Ensuring proper and accurate representation of the EREP designation in all professional materials and communications.
- Continuing Education Compliance: Verifying completion of required continuing education credits to maintain up-to-date industry knowledge.
- Licensing Status: Confirming that all necessary real estate licenses are active and in good standing.
- Client Feedback: Evaluating client reviews and feedback to ensure consistent ethical conduct and professionalism.
Recertification Fee
The annual compliance reverification process incurs a fee of $500. This fee covers the administrative costs associated with maintaining the high standards of the EREP designation.
Consequences of Non-Payment
Failure to complete the annual reverification process due to non-payment of the recertification fee will result in the termination of the member’s affiliation with EREP. Members whose designations have been voided must cease using the EREP designation immediately and remove any references from their professional materials.
Reinstatement Policy
Former members seeking reinstatement after termination due to non-compliance or non-payment must reapply for the EREP designation. This process includes:
- Submitting a new application.
- Undergoing the standard verification process.
- Paying any applicable fees, including past due amounts and a reinstatement fee.
Reinstatement is subject to approval by the EREP compliance team and is not guaranteed.
Member Responsibilities
It is the responsibility of each member to:
- Keep contact information up to date to receive all communications regarding recertification.
- Respond promptly to any inquiries from the EREP compliance team.
- Maintain accurate records of continuing education and other professional development activities.
By adhering to this annual recertification process, members contribute to the ongoing excellence and credibility of the EREP designation.
20. Severability
If any part of this Agreement is found to be unenforceable, the remainder of the Agreement will remain in full force and effect.
